A Retail Investor’s Practical Guide to Large Share Sales

The Jio IPO is expected to bring millions of ordinary households into the primary market over the coming days, many of them applying for the very first time. For newcomers, the process can look intimidating, full of terms like price band, cut-off and allotment. The good news is that the mechanics are simple once broken into steps, and the same steps apply whether the issue is huge or modest. Any Upcoming IPO you consider this season will follow roughly the same path, so learning it once pays off repeatedly.

Getting Your Accounts in Order

Before anything else, you’ll need a demat account and a trading account with a broker, and a bank account linked to UPI

Ensure that your PAN is linked to the demat account, as mismatches in the name or other details are a leading reason applications are rejected. Check that the UPI handle is active, and the daily transaction limit with the bank is high enough to accommodate the blocked amount.

Applications in public issues go through a system known as ASBA, or Applications Supported by Blocked Amount, wherein upon application, the money is not debited, but only blocked in your account

until allotment is finalised. If shares are allotted, the required sum is debited, and if not, the block is removed. This prevents you from losing the use of the funds for long periods.

Understanding Lots, Bands and Categories

Shares issued in a public issue are sold in minimum bundles called lots.

A company announces a price band (a range of prices) and the lot size. The product of the highest price in the band and the lot size is the maximum amount you would have to keep available. Retail individual investors are those who apply up to ₹2 lakh in total, of which a certain proportion are reserved.

You can also bid at the cut-off price, which means you accept the price decided within the range (most commonly the case)

as the most common choice for retail applicants, as it avoids the possibility of missing out on allotment due to a price difference. You can only place one application per PAN in the retail category, and attempts at duplicates run the risk of being rejected.

Reading the Documents That Matter

The red herring prospectus can run to hundreds of pages, but no one expects a retail investor to read all of it. Look at a few sections. The objects of the issue, which declare where the money raised is to be allocated

the risk factors, financials and the description of how the business makes money. In the case of Jio Platforms, the stated use of proceeds is for repayment of borrowings of its telecom subsidiary, which gives an indication on the goal of the fundraising.

It is also important to note the promoter holding pre and post-issue, pending litigations as well as the track record of profitability. Brokerage research notes can be a good supplement, but they should be treated as opinions, not directions. Be wary of unofficial grey market premium numbers seen on social media. They are unofficial, unregulated, and frequently wrong.

After You Apply: Allotment, Listing and Taxes

Allotment is typically finalised within a few working days of the issue closing, and you can check the status on the registrar’s website, or through your broker. Listing usually comes right after, with reports indicating that the listing for this particular issue is expected to be around 28 October, but the final schedule will be confirmed officially.

Once shares are credited to a demat account, you have a choice. Selling right away offers a locked gain, but it is also a possibility to sell at a loss if the opening price is low. Holding on reduces the possibility of loss due to short-term fluctuations, but ties your money up, and taxes. Under current rules, gains on listed equity sold within a year are taxed as short-term, and 20 per cent of the profit is paid in taxes, whereas profits after are taxed at 12.5 per cent above an annual exemption of ₹1.25 lakh. Rules change, and it is always best to confirm the latest position with a qualified tax adviser before acting.

Simple Habits That Protect You

Apply only with money you will not need for emergencies. Spread out your attention towards multiple issues, rather than putting all eggs in one basket (by applying for one name). Keep track of every application and allotment for tax filing. Most importantly, avoid borrowing to subscribe, as a delayed listing or poor performance of the stock can turn a minor inconvenience into a long-term liability. Having confidence about primary markets comes from preparation, and a calm and methodical approach will get you through any busy market environment wisely.
